Terms of Service

These Terms govern Reach USA Lab, the local social media posting support service operated by Reach Japan Lab.

Please read these Terms before completing payment. By completing payment or using the Service, you agree to be bound by them.

Article 1 — Application of These Terms

These Terms of Service (these "Terms") govern the use of local social media posting support services provided by Reach Japan Lab ("RJL", "we", "us", or "our") under the Reach USA Lab brand (the "Service").

By applying for, paying for, or using the Service, the client agrees to these Terms. The Service is a business-to-business service for brands, businesses, creators, sellers, and other commercial users, and is not generally intended for consumers.

Article 2 — Definitions

For these Terms:

  1. "Client" means the business, individual business owner, brand, seller, creator, or other commercial user that applies for, uses, or pays for the Service.
  2. "Target Country" means the country or region selected by the Client for the Service and accepted by RJL.
  3. "Local Account" means a TikTok, Instagram, or other social media account created, configured, or operated for the Target Country.
  4. "Local Operator" means an independent operator or external partner located in the Target Country who performs work using a real device, SIM, mobile connection, or similar local setup under RJL's instruction or engagement.
  5. "Materials" means videos, images, logos, copy, product information, URLs, account information, captions, brand guidelines, and other information supplied by the Client for the Service.

Article 3 — Service Scope and Plan Details

RJL provides local social media posting support using a Target Country posting environment. Depending on the selected plan or separate agreement, the Service may include account creation; account configuration; profile, icon, description, and link setup; account preparation or warm-up; posting Client-approved Materials; editing, translation, or localization support; sharing post URLs or simple operating status; account status checks; and other work reasonably related to the Service.

For a specific purchase, the product description, price, account count, post allowance, platform, and other terms displayed on the applicable Stripe checkout page control the scope of that plan. Anything not expressly shown there is not included unless RJL agrees otherwise in writing.

Where client workspace access is included, it is for the Client to review posts, available performance data, insights, and comments and, where supported, respond to comments. It does not include ongoing comment, direct-message, or customer-support handling by RJL. Instagram direct messages may be viewed and replied to through the client workspace where supported by the connected platform. Due to TikTok platform restrictions, TikTok direct-message replies are not available through the client workspace.

Article 4 — Work Not Included

Unless expressly agreed in writing, the Service does not include:

  1. Paid advertising; influencer engagement or negotiation; continuing customer support for comments, direct messages, or inquiries; product shipping, returns, refunds, inventory management, or customer support.
  2. Legal, medical, financial, advertising, consumer-protection, or other specialist regulatory review.
  3. Any improvement guarantee for sales, inquiries, conversions, views, followers, engagement, account approval, account continuity, distribution, or display to users in a Target Country.
  4. Fake reviews, comments, followers, engagement, purchased views, or other unlawful, deceptive, or manipulative activity.

Article 5 — Local Posting Environment

RJL's standard workflow is based on manual operation by a Local Operator using a real smartphone, real SIM, local mobile connection, and mobile data in the Target Country. RJL does not base this workflow on VPNs, proxies, cloud phones, emulators, bots, automation tools, or fake engagement.

RJL provides a local posting environment and operating workflow. RJL does not control or guarantee a platform's actual distribution, display location, impressions, account assessment, recommendations, or algorithmic treatment.

Article 6 — Client Authorization

The Client authorizes RJL to use the Client's brand name, logos, trademarks, product information, Materials, URLs, and account information to the extent reasonably necessary to provide the Service.

The Client authorizes RJL to create, configure, manage, post to, edit, translate, or localize a Local Account only to the extent included in the applicable plan or separately agreed in writing. RJL may use an "official", "official U.S. account", "official local account", or similar label only when the Client has the required authority to authorize that label. Where that authority is absent or unclear, RJL may use a different description that it reasonably considers appropriate.

Article 7 — Materials and Rights

The Client represents and warrants that it owns or has obtained all rights, permissions, and licenses needed for RJL to use, edit, translate, localize, post, store, and share the Materials in connection with the Service.

The Client is responsible for the legality, accuracy, product claims, pricing, landing pages, sales terms, music, images, user-generated content, testimonials, and other content it supplies. The Client represents that Materials do not infringe copyright, trademark, portrait, publicity, privacy, or other third-party rights. RJL is not responsible for claims or disputes arising from Client-supplied Materials or information.

Article 8 — Editing, Translation, and Localization

Where included in a plan or separately agreed, the Client authorizes RJL to make reasonable edits, translations, summaries, adjustments, captions, descriptions, profile copy, and hashtags needed for the Service.

If prior approval is required, the Client must provide approvals or revision instructions within a reasonable time. Delays in Client review, Materials, or instructions may delay the start date, posting schedule, or delivery, and RJL is not responsible for those delays.

Article 9 — Local Operators and Subcontractors

RJL may use Local Operators, contractors, and external partners where reasonably necessary to provide the Service. The Client authorizes RJL to share Materials, brand information, posting instructions, captions, and account-operational information with them only to the extent necessary for the Service.

RJL will not intentionally share unnecessary payment information, card information, sales information, customer data, internal information, or other information not needed to provide the Service with a Local Operator.

Article 10 — Account Creation and Management

Local Accounts are created or managed for the Client's Target Country operation. The Client's brand assets and Materials remain the property of the Client or their rightful owner.

For security, operating quality, and protection of the local posting context, RJL generally manages account credentials, recovery information, email addresses, telephone numbers, two-factor authentication, and other account-management information during the Service period.

Article 11 — Unauthorized Client Access

Without RJL's prior approval, the Client must not log into a Local Account; change its password, email address, telephone number, recovery information, two-factor authentication, username, profile, links, or posts; share credentials; delete, pause, or make the account private; or access the account from an environment outside the Target Country.

If the Client breaches this Article, RJL may pause or terminate the Service, refuse or defer account transfer, refuse a refund, or take other reasonable protective measures. RJL is not responsible for platform restrictions, signal changes, distribution changes, authentication issues, or account problems caused by unauthorized access or changes.

Article 12 — Account Transfer After Termination

For a Local Account created and operated during a paid subscription, the Client may request transfer after termination only when RJL determines that the request is appropriate. The conditions include:

RJL determines the method, timing, and scope of any transfer. RJL does not guarantee the account's condition, local context, distribution, views, followers, engagement, continuing usability, or platform treatment after transfer.

  1. All fees have been paid, and there is no chargeback, payment reversal, fraud claim, or other unpaid amount.
  2. The Client has not breached these Terms, including the unauthorized-access restrictions.
  3. The account is not suspended, frozen, or subject to a material restriction.
  4. Transfer is technically feasible and will not disadvantage RJL, a Local Operator, another client, or a third party.
  5. No other circumstance makes transfer inappropriate in RJL's reasonable judgment.

Article 13 — Trials and Complimentary Periods

If RJL offers a free trial, introductory free period, test period, discount period, or other special arrangement, a Local Account created during that period will not be transferred if the Client does not move to a paid subscription. RJL may pause, store, delete, make private, or otherwise process that account as reasonably necessary.

The Client cannot require transfer or delivery of posts, preparation work, profile settings, local context, followers, viewing history, or other account state from a non-paid trial period.

Article 14 — No Performance Guarantee

The Service is not a performance-guaranteed service. RJL does not guarantee views, impressions, followers, engagement, likes, comments, shares, saves, sales, inquiries, conversions, display to users in a Target Country, algorithmic preference, avoidance of restrictions or removals, account continuity, or platform approval.

The Client understands that the Service provides a local posting environment and posting workflow, not a promise of a particular business or platform result.

Article 15 — Platform Risk

TikTok, Instagram, and other platforms independently determine their features, terms, algorithms, reviews, restrictions, account decisions, country-specific availability, verification, and login requirements. RJL does not control or guarantee those decisions.

If a platform change, restriction, account action, deletion, login limitation, verification request, telephone verification request, or similar event makes all or part of the Service difficult or impossible, RJL is generally not required to provide a refund.

Article 16 — Prohibited Categories

The Client may not use the Service for illegal or unsuitable products, services, businesses, or content, including:

  1. Illegal products or services; counterfeit, imitative, or infringing goods; adult or sexual services or content; gambling, casinos, lotteries, or similar activity.
  2. Weapons, firearms, explosives, dangerous goods, illegal or controlled drugs, narcotics, psychotropic drugs, prescription medicines, unapproved medicines, or high-risk medical products.
  3. Tobacco, nicotine, e-cigarettes, or vaping products; financial fraud, investment fraud, cryptocurrency fraud, multi-level marketing, pyramid schemes, or similar conduct.
  4. Hate, discrimination, violence, extremism, conduct that encourages unlawful activity, fake reviews, fake recommendations, fake comments, fake followers, fake engagement, or material that clearly violates platform rules or applicable law.

Article 17 — Prohibited Conduct

The Client must not provide false or misleading product information; make unsupported product, health, beauty, financial, income, or performance claims; supply materials without rights; request deceptive conduct; or ask RJL or a Local Operator to violate law or platform rules.

  1. The Client must not request platform restriction avoidance using false information, fake reviews, fake comments, fake followers, fake engagement, purchased views, or other deceptive activity.
  2. The Client must not directly contact, contract with, pay, or transact with RJL's Local Operators, contractors, or external partners outside RJL.
  3. The Client must not obtain, alter, use, disclose, or share credentials, recovery information, or account-management information controlled by RJL.

Article 18 — Fees, Payment, and Automatic Renewal

Fees are paid in advance unless stated otherwise. Monthly plans renew automatically each month unless properly cancelled under Article 19. RJL may use Stripe or another payment method designated by RJL.

The Client is responsible for payment-processing, currency-conversion, card, bank, and other third-party fees that may apply.

Article 19 — Cancellation

To cancel a future renewal, send a message to the WhatsApp number or SMS contact provided after purchase. If RJL receives your cancellation message at least five (5) days before the next renewal date, the next renewal will be cancelled.

RJL does not publish a WhatsApp number or telephone number on this website. Cancellation does not create a right to a pro-rated refund, and post-cancellation account handling is subject to these Terms.

Article 20 — Refund Policy

After work or service provision has begun, fees are generally non-refundable. This includes cases where views, followers, sales, inquiries, or engagement are below expectations; a post does not perform as hoped; display to Target Country users is below expectations; platform restrictions, changes, algorithms, or account decisions occur; Client Materials, review, approval, or replies are delayed; Client-supplied products, copy, Materials, links, or rights cause a problem; the Client accesses or changes an account without authorization; account creation, preparation, posting, editing, translation, localization, or management work has started; or the Client chooses to stop using the Service.

At RJL's reasonable discretion, RJL may provide a refund, partial refund, account replacement, replacement posts, additional posts, or account credit for duplicate billing, billing error, a complete failure by RJL to provide the Service, a material RJL operational error, or another appropriate circumstance. The standard remedy may be a non-cash remedy rather than a cash refund.

Article 21 — Failed Payments, Non-Payment, and Chargebacks

If a payment fails, remains unpaid, is disputed, is reversed, or is subject to a chargeback or fraud claim, RJL may pause the Service, stop posting, stop account creation or management, defer or refuse account transfer, terminate the agreement, refuse future service, or take other reasonable measures.

Until the payment issue is resolved, RJL may retain management of credentials, recovery information, posting data, and other account-management information.

Article 22 — Materials, Start of Work, and Timing

RJL generally starts work after payment is complete and RJL has received the Materials, logos, brand information, account information, Target Country, posting instructions, and other information reasonably needed to provide the Service.

If the Client delays Materials, review, approval, replies, or revision instructions, the start date, posting schedule, delivery date, or scope may be delayed. RJL is not responsible for delays caused by the Client.

Article 23 — Changes, Suspension, and Interruption

RJL may change, suspend, or interrupt all or part of the Service when platform terms, specifications, restrictions, or technical problems change; device, SIM, connection, or account issues arise; the Client breaches these Terms; payment issues occur; Materials or products are high risk; force majeure, communication outages, system outages, or third-party outages occur; or other reasonable circumstances make it necessary.

RJL may change the Service, fees, plans, scope, or operating methods for a future billing period with reasonable prior notice. A Client that does not accept a material change may cancel in accordance with Article 19.

Article 24 — Confidentiality and Case Studies

RJL will use non-public information, Materials, brand information, and operating information supplied by the Client only as reasonably necessary to provide the Service.

Without the Client's prior permission, RJL will not publish the Client's name, logo, account, post screenshots, performance data, or operating results as a case study, portfolio item, sales material, or social post. RJL may share necessary information with Local Operators, contractors, and external partners as permitted by Article 9.

Article 25 — Personal Information and Data

RJL may use information supplied by the Client for service delivery, communication, billing, payment, support, troubleshooting, and compliance with these Terms. RJL will not unnecessarily disclose personal information except where required by law, necessary for payment or service delivery, or authorized by the Client.

Payment information is generally processed by Stripe or another payment provider; RJL does not retain complete card details. Where the Client is located in the European Economic Area, the United Kingdom, or another jurisdiction with similar data-protection rules, the Client remains the controller of personal data it supplies and RJL acts as a processor only to the extent necessary to provide the Service. RJL will reasonably cooperate with requests relating to data-subject access or deletion where applicable.

Article 26 — Anti-Social Forces

The Client represents that it is not an organized crime group, anti-social force, or equivalent party, and does not provide benefit to such a party. RJL may immediately suspend or terminate the Service without refund if this representation is breached.

Article 27 — Disclaimer

RJL is not responsible for platform changes, platform decisions, terms changes, restrictions, reviews, account decisions, performance results, Client-supplied Materials, unauthorized Client access, delayed Client Materials or approvals, third-party, payment-provider, platform, or connection outages, force majeure, post-transfer account issues, or a result differing from the Client's expectations, forecasts, or business plans.

RJL is also not responsible for intentional or negligent conduct of a Local Operator to the extent permitted by applicable law.

Article 28 — Limitation of Liability

To the maximum extent permitted by applicable law, RJL's total liability arising from the Service is limited to the amount actually paid by the Client to RJL for the month in which the relevant issue occurred.

RJL is not liable for lost profits, lost sales, reputational harm, data loss, lost business opportunity, indirect, special, incidental, consequential, or punitive damages.

Article 29 — Indemnification

The Client will indemnify, defend, and hold harmless RJL, Local Operators, contractors, and external partners from claims, losses, costs, or disputes arising from Client Materials, products, claims, infringement, breach of these Terms, violation of law, false information, prohibited conduct, unauthorized access, chargebacks, or other causes attributable to the Client.

Article 30 — Termination by RJL

RJL may suspend the Service or terminate the agreement without prior notice if the Client breaches these Terms, has a failed payment, non-payment, chargeback, or fraud issue, falls within a prohibited category or engages in prohibited conduct, provides false information, creates risk or harm for RJL or its partners, creates platform, payment-provider, or legal risk, or otherwise makes continued service inappropriate in RJL's reasonable judgment.

RJL generally has no refund obligation following a termination under this Article.

Article 31 — Changes to These Terms

RJL may update these Terms when necessary. Updated Terms take effect when posted on the RJL website, checkout page, by email, or through another reasonable notice method. RJL will use reasonable efforts to notify existing Clients of material changes. A Client that does not accept a material change may cancel under Article 19.

Article 32 — Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. The Sendai District Court of Japan has exclusive jurisdiction as the court of first instance for disputes arising from or relating to these Terms or the Service, except as provided in Article 37.

Article 33 — Good-Faith Consultation

If a matter is not addressed by these Terms or a question arises regarding their interpretation, RJL and the Client will seek to resolve it through good-faith consultation.

Article 34 — Language

These English Terms are the governing and controlling version for the Reach USA Lab Service. Any internal reference, translation, or earlier language version is provided for convenience only and does not control the Client's agreement with RJL.

Article 35 — Notices

RJL may give notice by email to the Client's registered email address, by posting on the RJL website, through the payment platform, or by another reasonable method. Notice is effective when sent or posted. The cancellation method in Article 19 applies specifically to cancellation requests.

Article 36 — Severability

If any provision of these Terms is found invalid or unenforceable, that finding does not affect the validity or enforceability of the remaining provisions.

Article 37 — Special Terms for U.S. Business Clients

For a Client organized under U.S. law or principally operating in the United States, the parties will first attempt to resolve a dispute through consultation. If unresolved, the dispute will be resolved by arbitration. The Client waives any right to bring or participate in a class action, representative action, or similar collective proceeding to the extent permitted by applicable law.

Article 38 — Entire Agreement

These Terms, together with the applicable Stripe checkout description and any written agreement expressly accepted by RJL, form the entire agreement concerning the Service and supersede prior oral or written discussions, understandings, and representations concerning that Service.

Article 39 — Assignment

RJL may assign or transfer its position and rights or obligations under these Terms in connection with a business transfer, corporate reorganization, merger, or similar transaction. The Client may not assign or transfer its position or rights or obligations without RJL's prior written consent.
